By using DemandDuck, you agree to the terms outlined below. We encourage all users—both consumers and providers/merchants—to review these terms to understand your rights and obligations when using our platform.

1. Acceptance of Terms
These Terms & Conditions (“Terms”) govern your use of the DemandDuck mobile applications (iOS and Android) and website (collectively, the “Platform”). By accessing or using the Platform as a consumer or as a provider/merchant (collectively, “Users”), you agree to these Terms. If you do not agree to these Terms, you must not use the Platform.
2. About DemandDuck
DemandDuck Inc., incorporated in the State of Delaware, provides a digital platform connecting users with independent third‑party service providers and product manufacturers (“Providers”) across North America. DemandDuck does not directly manufacture or sell any products or services.
DemandDuck is a marketplace:
- Consumers use the Platform to create or join individual and group requests for products and services.
- Providers use the Platform to view demand, respond with offers, and fulfill accepted requests.
DemandDuck is not a party to the agreements between consumers and Providers, and does not control or guarantee the quality, safety, legality, or suitability of any Provider, product, or service.
3. User Responsibilities (All Users)
You agree to:
- Provide accurate and complete information when creating an account.
- Maintain the confidentiality of your login credentials.
- Use the Platform only for lawful purposes.
- Not misuse, reverse‑engineer, interfere with, or disrupt the Platform.
You are responsible for all activities that occur under your account.
4. Roles: Consumers and Providers
4.1 Consumers
As a consumer, you agree to:
- Submit accurate and clear product/service requests (including dates, times, quantities, locations, and any relevant details).
- Review the Provider’s offer, pricing, scope, restrictions, and any Provider‑specific terms before accepting.
- Ensure you have the authority to request services for any location or property you specify.
- Pay all charges, taxes, and fees associated with accepted offers, in accordance with these Terms and any additional Provider terms.
Creating or joining a request does not guarantee that a Provider will respond, that a group will reach the required minimum size, or that any particular price or discount will be available.
4.2 Providers / Merchants
As a Provider, you agree to:
- Provide accurate and complete business information, including legal name, contact details, and any required licenses, permits, insurance, and certifications.
- Respond to consumer requests honestly and transparently, with clear pricing, scope, timing, and conditions.
- Fulfill accepted offers with reasonable care and skill, in accordance with applicable laws and professional standards.
- Comply with all laws and regulations that apply to your business, including consumer protection, safety, labor, and tax obligations.
- Use consumer information obtained through the Platform only to communicate about and fulfill the relevant request, unless the consumer has clearly agreed to other uses (such as direct marketing).
You acknowledge that you are an independent entity and not an employee, partner, or agent of DemandDuck.
5. Information We Collect and Share
To facilitate your service or product requests and offers, we may collect, as described in our Privacy Policy:
- First name
- Last name
- Email address
- Phone number
- Address (such as street, city, state, ZIP/postal code)
- Details about the requested products or services
By using the Platform, you authorize DemandDuck to share necessary information with Providers so they may contact you, provide quotes, fulfill your request, and deliver services or products. Providers may also see aggregated or anonymized demand information (for example, how many consumers are interested in a particular service in a given area) to help them decide which offers to make.
All collection and use of information is further described in the separate Privacy Policy, which forms part of these Terms.
6. Third‑Party Providers
Providers are independent entities. DemandDuck does not control Provider operations and is not responsible for:
- Product or service quality, safety, or legality.
- Pricing, communication, or timelines.
- Delivery, installation, or performance of services.
- Actions or omissions of Providers or their personnel.
Any disputes regarding services or products (including quality, performance, delays, or refunds) must be resolved primarily between the consumer and the Provider, subject to the dispute and arbitration provisions in these Terms.
7. Group Requests and Offers
The Platform may allow consumers to create and join group or collective requests so Providers can offer group deals or bulk pricing.
- Providers may set minimum participant thresholds, deadlines, or other conditions for group offers.
- If a minimum threshold or condition is not met, the Provider may modify or cancel the offer, and any payments or authorizations will be handled according to the applicable payment and refund rules.
- DemandDuck does not guarantee any specific level of savings, discount, or availability for group requests.
8. Payments
Payments made through the Platform are processed by secure third‑party payment processors. DemandDuck does not store or have access to your full payment card details.
- All pricing and offer terms are determined by Providers, not DemandDuck, unless explicitly stated otherwise (such as platform‑wide promotions clearly marked as such).
- By accepting an offer, consumers authorize the Provider/Merchant (or DemandDuck on their behalf) and/or its payment processor to charge the payment method provided for the relevant amounts, including applicable fees and taxes.
- If providers opt in for payment to be facilitated through DemandDuck, providers agree to authorize DemandDuck and/or its payment processor to collect payments from consumers on their behalf and remit amounts due, less any applicable platform fees, chargebacks, or adjustments.
Additional details about how payments are handled may be provided in the Platform interface or separate documentation for Providers.
9. Platform Availability
We strive to maintain uninterrupted access but do not guarantee that the Platform will always be available, secure, or error‑free. We may modify, suspend, or discontinue features or access (in whole or in part) at any time, with or without notice.
10. Limitation of Liability
To the fullest extent permitted by law, DemandDuck is not liable for:
- Indirect, incidental, or consequential damages.
- Loss of profits, revenue, data, or business.
- Any actions, omissions, or performance (or non‑performance) of Providers.
- Issues arising from your misuse of the Platform or violation of these Terms.
Your sole remedy for dissatisfaction with the Platform is to stop using the Platform. Where a limitation of liability is not allowed in full by applicable law, these limitations apply to the maximum extent permitted.
11. Indemnification
You agree to indemnify and hold DemandDuck, its affiliates, and its officers, directors, employees, and agents harmless from any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising out of or related to:
- Your use of the Platform.
- Your violation of these Terms.
- Your interaction with other users (including Providers and other consumers) and any products or services you provide or receive through the Platform.
12. Termination
DemandDuck may suspend or terminate your access to all or part of the Platform at any time if you violate these Terms, engage in fraudulent, abusive, or harmful behavior, or if we decide to discontinue the Platform. You may stop using the Platform at any time and may request account closure where the feature is available.
Sections that by their nature should continue after termination (including limitation of liability, indemnification, governing law, and dispute resolution) will remain in effect.
13. Governing Law
These Terms are governed by the laws of the State of Delaware, without regard to conflict‑of‑law rules.
14. Dispute Resolution and Arbitration
Any dispute or claim arising out of or relating to these Terms or your use of the Platform shall be resolved exclusively through binding arbitration in the State of Delaware, before a single arbitrator, under applicable arbitration rules. You agree:
- To waive the right to a trial by jury.
- To waive the right to participate in a class action lawsuit or class‑wide arbitration.
Nothing in this section limits your or DemandDuck’s ability to seek provisional or injunctive relief in a court of competent jurisdiction.
15. Modifications to Terms
We may update these Terms at any time. When we do, we will update the “Effective Date” at the top of this page and may provide additional notice (for example, via the Platform). Your continued use of the Platform after updated Terms becomes effective constitutes your acceptance of the updated Terms.
